English Version of the Agreement
This agreement (the "Agreement") is made and entered into on this [date] (the "Effective Date") by and between [Party A] and [Party B], collectively referred to as the "Parties."
Purpose The purpose of this Agreement is to define the terms and conditions under which [Party A] will provide certain services to [Party B], as described in more detail in Exhibit A (the "Services").
Term This Agreement shall commence on the Effective Date and shall remain in effect for a period of [duration] (the "Term"). Either Party may terminate this Agreement upon [notice period] written notice to the other Party.
Scope of Services [Party A] agrees to provide the Services to [Party B] in a professional and timely manner. The specific details of the Services, including deliverables, timelines, and any additional requirements, shall be set forth in Exhibit A.
Payment In consideration for the Services provided by [Party A], [Party B] agrees to pay [Party A] the fees specified in Exhibit A. Payment terms shall be [payment terms] unless otherwise agreed upon by the Parties in writing.
Confidentiality Both Parties acknowledge that during the course of this Agreement, they may have access to confidential information of the other Party. The Parties agree to keep all such information confidential and not disclose it to any third party without the express written consent of the other Party, except as required by law.
Intellectual Property Any intellectual property created or developed by [Party A] during the course of providing the Services shall be the sole property of [Party A], unless otherwise specified in writing. [Party B] shall have no rights or claims to any intellectual property owned by [Party A].
Indemnification Each Party agrees to indemnify and hold harmless the other Party, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising out of or in connection with any breach of this Agreement by the indemnifying Party.
Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
Entire Agreement This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations, and agreements, whether oral or written.
Amendment and Waiver No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.
